Terms of Service

1.Agreement

By creating an account, starting a trial or purchasing a subscription you agree to these terms. If you accept on behalf of an organisation, you confirm you have authority to bind that organisation.

2.The service

NUFUCMS is a hosted content management platform. We provide the software, hosting, delivery API and support described on www.nufucms.com for the plan you have purchased. We may add, modify or deprecate features, and will give reasonable notice before removing material functionality.

3.Accounts and access

• You are responsible for the accuracy of registration details and for all activity under your account.
• Credentials must not be shared beyond the seats included in your plan.
• You must notify us promptly of any suspected unauthorised access.
• We may suspend accounts that pose a security, legal or stability risk to the platform.

4.Subscriptions, billing and renewal

• Plans are offered on monthly ($20.99), six-monthly ($79.99) and annual ($124.99) billing cadences in USD, exclusive of applicable taxes.
• Subscriptions renew automatically at the end of each term unless cancelled before the renewal date.
• Upgrades take effect immediately with pro-rata credit; downgrades take effect at the next renewal.
• Failure to settle an invoice may result in suspension after written notice.

5.Free trial

Trials run for 14 days with access to the full feature set. If no plan is purchased before the trial ends, the workspace becomes read-only for 30 days and is then deleted.

6.Your content

You retain all ownership of the content, media and data you upload. You grant us a limited licence to host, process, transmit and back up that content solely to operate the service. You are responsible for holding the rights necessary to publish the content you store.

7.Acceptable use

You must not use NUFUCMS to store or distribute unlawful material, infringe intellectual property, transmit malware, attempt to breach platform security, or resell the service without written agreement. Full details are set out in our acceptable use policy.

8.Intellectual property

The NUFUCMS platform, brand, documentation and underlying software remain the property of NUFU CMS Solution LTD. No rights are granted other than the right to use the service under these terms.

9.Availability and support

We target 99.9% monthly availability and provide support according to your plan. Service credits under the SLA are the exclusive remedy for availability shortfalls.

10.Warranties and liability

The service is provided with reasonable skill and care but without further warranties to the extent permitted by law. Our aggregate liability in any 12-month period is limited to the fees you paid in that period. We are not liable for indirect, incidental or consequential loss, including loss of profits or data, save where liability cannot lawfully be excluded.

11.Termination

You may cancel at any time, effective at the end of the current paid term. We may terminate for material breach that is not remedied within 14 days of notice. On termination you may export your content for 30 days, after which it is deleted.

12.Governing law

These terms are governed by the laws applicable to the registered seat of NUFU CMS Solution LTD, and the parties submit to the exclusive jurisdiction of its courts.
